This End-User License Agreement (Agreement) is between the business or individual accepting this Agreement (this business or individual being you) and Izypos . This Agreement is solely between you and Izypos, and governs your use of Izypos sc and Izypos ST. application and the services these apps provides. Review this Agreement completely. You agree to be bound by the terms of this Agreement or If you do not agree to the terms of this Agreement, you must stop using the application immediately. ​

This License Agreement ("Agreement") is for  the business owner, or individual, ( called Merchant )with an active Merchant ID from Clover .

This Agreement is between Merchant and Izypos -salesVu

This Agreement governs your use of POS (salesVU) application (the "App") and its corresponding services. Please review this Agreement carefully. By downloading, installing, or using the App, you agree to be bound by its terms. If you do not agree, you must not use the App.

1. The App

1.1  The App use a different interface from the Clover original interface.

1.2 The App allows you to connect Revenue Quebec's Web SRM with Clover devices.

1.3 The App also allows you to generate sales reports, detailed summaries, event data, SRM connectivity status, and more.

1.4 SalesVu  Apps grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the App solely for your internal business purposes during the Term (defined below). You may not distribute, lease, rent, host, sublicense, transfer, sell, export, modify, reverse engineer, decompile, copy, benchmark, or create derivative works from the App.

1.5 This license does not grant you rights to SalesVu Apps’ trademarks, logos, or proprietary information unless expressly permitted. Initio Apps reserves all rights not explicitly granted.

1.6 The App may automatically update. You may be required to accept updates to continue using the App. SalesVu Apps may perform maintenance that may result in temporary service interruptions.

1.7 You are solely responsible for obtaining necessary equipment and services (e.g., internet access) to use the App.

2. Fees

Upon downloading You agree to pay the following fees :

Activation Fee: A one-time, non-refundable activation fee of $225CAD plus taxes.

FSubscription Fee: A recurring monthly fee of $39 CAD plus tax for counter service.

Subscription Fee: A recurring monthly fee of $39 CAD plus tax for table service.

Merchant limitation : Business under the same Merchant ID is limited to 7 devices ; extra devices are billed $9.95 CAD plus tax

Business owner should notify Izypos of any billing errors within 30 days, after which you release Izypos from liability for such errors.

3. Term and Termination

This Agreement starts when you first download, install, or use the App and continues a month-to-month basis unless terminated.

You may terminate this Agreement at any time by notifying Izypos in writing to the following email: info@izypos.io

· If the cancelation email was sent within 48H of the activation; 50% of the activation fee is reimbursed. The subscription fee is fully reimbursed.

· If the cancelation email was sent after 48H of the activation; the merchant won't get a refund.

Izypos may suspend or terminate your access for violation of this Agreement, non-payment, or misuse. Termination does not relieve you of outstanding payment obligations.

4. Confidentiality

4.1 Each party agrees not to disclose the other’s non-public business information ("Confidential Information"). Confidential Information includes terms of this Agreement, technical details, customer lists, and business strategies. It does not include information that is publicly available, independently developed, legally obtained, or disclosed by a third party without breach. ​

4.2 Confidential Information may be shared with employees or representatives who need access to fulfill obligations, or as required by law. Each party will maintain reasonable safeguards to protect Confidential Information. ​

5. Feedback

You may submit comments or ideas about POS Apps ("Ideas"). By submitting Ideas, you agree they are not confidential, and Izypos may use them without restriction or compensation. You waive any rights to submitted Ideas.

6. Account Responsibilities

Merchant is fully responsible for securing your account, including preventing unauthorized access and notifying Izypos of any breach.

7. Risk and Liability

7.1 The App is provided "as is" and "as available." SalesVu disclaims all warranties, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free use.

7.2 You will indemnify Izypos and its affiliates against third-party claims arising from your misuse of the App or breach of this Agreement.

7.3 Izypos may assume defense of such claims, and you agree to cooperate. You may not settle claims without Izypos consent if they involve anything beyond monetary payment.

7.4 To the extent permitted by law, Izypos will not be liable for lost profits, business interruption, or indirect, incidental, or consequential damages.

8. Communications

You authorize Izypos to contact you electronically using the information you provide.. You may opt out of marketing communications as required by applicable law.

9. General Terms

9.1 The Merchant represent that he have the legal authority to enter into this Agreement.

9.2 Izypos may update this Agreement. Merchant will be notified of changes via, email, or other means.

9.3 Each party will comply with applicable laws, including those related to data privacy and security. You must not use the App to store or transmit unlawful, harmful, or infringing material.

9.4 This Agreement is governed by the laws of Quebec, Canada. You agree to submit to the exclusive jurisdiction of Quebec courts.

9.5 This Agreement is the entire agreement between the parties. If any provision is unenforceable, the remainder will remain in effect. Delay in enforcing any right is not a waiver.

9.6 Merchant may not assign this Agreement without written consent from Izypos. Izypos assign without notice.

Continued use of the App indicates acceptance. If you disagree, you must stop using and uninstall the App.
